Welcome to AI Call Agent (the “Service”), operated by AI Call Agent (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
1. Description of the Service
AI Call Agent is an AI-powered voice calling and lead-management platform. It allows businesses to:
- Manage contacts and leads.
- Place outbound AI voice calls (via our telephony and AI partners) to conduct conversations, qualify leads, and book appointments.
- View call outcomes, recordings, and transcripts.
- Top up credits and pay for usage in accordance with our Billing & Refund Policy.
Calls are made by an AI assistant, not a human. We comply with applicable telecom and AI disclosure rules; see our Recording Disclosure and Acceptable Use Policy.
2. Eligibility and Account
- You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service.
- You must provide accurate and complete registration information and keep it up to date.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You may not share your account or use the Service on behalf of a third party without our permission.
3. Acceptable Use and Prohibited Activities
Your use of the Service must comply with our Acceptable Use Policy. By way of summary (see that policy for full details), you must not use the Service for:
- Dating or romance services or solicitations.
- Gambling, betting, or games of chance.
- Illegal activities or to violate any applicable law.
- Fraud, harassment, defamation, or abuse.
- Spam or unsolicited communications where consent is required and not obtained.
- Impersonation of a human when the caller is an AI (our system discloses AI use; you must not circumvent this).
- Any use that violates telecom regulations (e.g. TCPA, Do-Not-Call, STIR/SHAKEN) or data protection laws (e.g. GDPR, CCPA).
We may suspend or terminate your account for violation of these Terms or the Acceptable Use Policy.
4. Consent and Compliance (Calls)
- Outbound calls: You are responsible for ensuring that you have prior express consent (or another lawful basis) to contact each recipient, where required by law (e.g. TCPA in the US, GDPR in the UK/EU).
- Recording: Calls may be recorded. Where required by law (e.g. two-party consent states or countries), consent must be obtained; our system can disclose recording at the start of the call. You must use the Service in a way that complies with local recording laws.
- Do-Not-Call: You must honour applicable Do-Not-Call lists and opt-out requests and use the opt-out mechanisms we provide.
- AI disclosure: Our AI assistant identifies itself as an AI. You must not use the Service to mislead recipients into believing they are speaking with a human.
5. Billing and Payment
- Use of the Service is subject to our Billing & Refund Policy.
- You pay for usage (e.g. per-minute charges) via credits; minimum balance and top-up rules apply.
- All fees are in the currency we specify (e.g. USD). Prices and rates may change with notice as set out in the Billing & Refund Policy.
- You are responsible for any taxes applicable to your use of the Service.
6. Privacy and Data
- Our Privacy Policy describes how we collect, use, and protect your data and the data of people you contact.
- We use third-party processors (e.g. Twilio, VAPI, OpenAI, Stripe, Deepgram) as described in the Privacy Policy.
- By using the Service, you also agree to our processing of data as described there and, where relevant, you confirm that you have a lawful basis to provide us (and our processors) with any personal data you submit or cause to be processed (e.g. contact details of call recipients).
7. Intellectual Property and License
- The Service, including software, design, and content we provide, is owned by us or our licensors. Your use is under the license set out in our EULA.
- You retain ownership of your data; you grant us the rights necessary to operate the Service (e.g. to process calls, store recordings, and provide support) as described in the Privacy Policy and these Terms.
8. Termination
- We may suspend or terminate your access to the Service for breach of these Terms, non-payment, or for any reason we deem necessary to protect the Service or others.
- You may stop using the Service at any time and may request account closure and data deletion in accordance with our Privacy Policy and GDPR/CCPA procedures.
- Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (e.g. liability limits, indemnity, governing law) will survive.
9. Disclaimers and Limitation of Liability
- The Service is provided “as is” and “as available.” We disclaim all warranties to the fullest extent permitted by law. See our EULA for full warranty disclaimers and limitation of liability.
- We are not liable for how you or your contacts use the Service, for the content of conversations, or for any indirect, consequential, or punitive damages except as prohibited by law.
10. Indemnification
You agree to indemnify and hold harmless us and our affiliates, officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.
11. Changes to the Terms
We may update these Terms from time to time. We will notify you of material changes (e.g. by email or in-app notice) and will indicate the effective date. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.
12. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales, except where prohibited by law.
